Is Corporate Governance Always Right?

Corporate governance is usually viewed in the context of strengthening shareholder rights and enhancing shareholders’ welfare. However, shareholders are not the only group of stakeholders affected by corporate governance. This presentation will explore how corporate governance is viewed by bondholders (creditors), in particular, how credit ratings and bond yields are related to the strength of corporate governance. Also featured are the corporate governance standards from The Institutional Shareholder Services (ISS), which provides advice to large institutional investors. The results indicate that regulators should handle corporate governance reforms with extreme caution as they may have unintended consequences.
